Rieter Finalizes EGM Agenda & Capital Increase Plans

Rieter Holding Ltd. has announced the final details of the agenda items for today’s Extraordinary General Meeting (EGM). These details concern:

  • Ordinary capital increase – Tranche A (rights issue)
  • Ordinary capital increase – Tranche B (private placement)
  • Reintroduction of the capital band

This clarification follows the earlier invitation dated 25 August 2025 and does not introduce new motions. Instead, it outlines the final terms and procedures for issuing subscription rights worth around CHF 400 million and a private placement worth approximately CHF 77.4 million.

The planned capital increase, alongside bank financing, will help fund Rieter’s acquisition of OC Oerlikon’s Barmag division, expected to be completed by the end of 2025 subject to regulatory approvals.

The company’s largest shareholders have confirmed their support. Peter Spuhler, via PCS Holding AG (approx. 33% stake), has committed to exercise his rights and invest additional capital. Martin Haefner, via BigPoint Holding AG (approx. 10% stake), has also pledged to participate in both tranches.

Agenda Details:

  • Tranche A (Rights Issue): Increase in share capital by CHF 116,809.75 to CHF 1,214,814.38 through the issue of 116,809,075 new registered shares at CHF 0.01 nominal value.
  • Tranche B (Private Placement): Increase in share capital by CHF 145,762.70 to CHF 1,360,577.08 through the issue of 14,576,270 new registered shares at CHF 0.01 nominal value.
  • Capital Band: Reintroduction of a capital band under Swiss Code of Obligations, setting limits between CHF 1,292,548.23 and CHF 1,496,634.78, valid until 18 September 2030.

If approved, existing shareholders will receive one subscription right per share held on 22 September 2025 (post-trading close). The rights entitle them to subscribe to 25 new shares per right at CHF 3.43 per share. Rights trading will run from 23–29 September 2025, with subscription valid until 1 October 2025 at noon (CEST).

Unsubscribed shares may be offered to other investors. Tranche B private placement shares will be issued at CHF 5.31 per share. Both tranches are expected to be listed and traded on the SIX Swiss Exchange from 2 October 2025, with completion and settlement scheduled for 6 October 2025.
