Rieter Completes Rights Issue, Raises CHF 461.7 Million

Rieter Holding Ltd. has announced the outcome of its rights issue. By the close of the subscription period on October 1, 2025, at 12 noon CEST, a total of 99.06% of the subscription rights were validly exercised.
The balance of 1,092,450 offer shares not taken up will be offered on the market. Both of Rieter’s largest shareholders – Peter Spuhler through PCS Holding AG and Martin Haefner through BigPoint Holding AG – subscribed to new shares in line with their existing holdings.
Details of the capital increase were first published on September 18, 2025. The increase consists of two tranches:
- Tranche A: A rights issue worth approximately CHF 400 million.
- Tranche B: A private placement of around CHF 77.4 million with the two largest shareholders.
The newly issued shares are expected to start trading on October 2, 2025, with settlement scheduled for October 6, 2025. Following completion of both tranches, the share capital of Rieter Holding Ltd. will amount to CHF 1,360,577.08, represented by 136,057,708 registered shares with a nominal value of CHF 0.01 each.
Rieter anticipates net proceeds of about CHF 385.5 million from the rights issue (Tranche A) and CHF 76.2 million from the private placement (Tranche B). These funds will finance the acquisition of Barmag.
