Asahi Kasei and Teijin Frontier Announce Strategic Business Merger

A new joint venture strengthens competitive capabilities and supports long-term sustainable growth.
Asahi Kasei and Teijin Frontier have signed an agreement to merge their subsidiaries into a joint venture, combining operational strengths and market networks to drive sustainable growth and enhance competitiveness across fibers, materials, and trading businesses.
Asahi Kasei announced that Asahi Kasei Advance Corp. (“Asahi Kasei Advance”), its wholly owned subsidiary, and Teijin Frontier Co., Ltd. (“Teijin Frontier”), a wholly owned subsidiary of Teijin Limited (“Teijin”), have entered into an agreement to proceed with an absorption-type merger. Under this arrangement, Teijin Frontier will remain as the surviving entity and will transition into a joint venture, with an ownership structure of 80% Teijin and 20% Asahi Kasei, effective October 1, 2026.
Established in 2015, Asahi Kasei Advance has served as a trading company handling a wide range of Asahi Kasei Group products, including fibers, chemical materials, and construction-related goods. After assessing long-term growth prospects, Asahi Kasei concluded that integrating these operations with Teijin Frontier—which brings together trading functions with strong global procurement strengths and manufacturing capabilities in high-performance fibers—would provide a more viable path for expansion compared to pursuing independent growth.
The integration aims to unite the operational platforms, customer bases, and sales networks of both Teijin Frontier and Asahi Kasei Advance to support sustainable growth and enhance corporate value. By combining their respective strengths, the companies intend to build a more competitive and resilient business structure capable of driving long-term value creation.
In preparation for the merger, Hangzhou Asahikasei Textiles Co., Ltd., a subsidiary of Asahi Kasei (China) Co., Ltd. involved in textile production and sales, will be transferred to Asahi Kasei Advance.
The integration is expected to have no material impact on Asahi Kasei’s consolidated financial results.
